Welcome to Junto ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Junto mobile application and related services (collectively, the "Service"), operated by Digital Envision LLC.

By downloading, accessing, or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Service.

We may modify these Terms at any time. We will notify you of material changes through the app or by email. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

2. Description of Service

Junto is a travel meetup platform that enables users to:

  • Create and discover local events and activities
  • Connect with fellow travelers and locals
  • Join events organized by other users
  • Communicate through in-app messaging and chat features
  • Share experiences, photos, and reviews
  • Access premium features through subscription plans

3. Eligibility and Account Registration

3.1 Age Requirement

You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that you are 18 years of age or older.

3.2 Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password confidential and secure
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

3.3 Account Verification

4. User Conduct and Community Guidelines

  • Illegal Activities: Promote or engage in illegal activities
  • Harmful Content: Share content that is harmful, offensive, or inappropriate

  • Multiple Accounts: Create multiple accounts without permission

  • Safe for all users, including minors who may view public content

5. Events and Meetups

5.1 Event Creation and Hosting

When creating events, you agree to:

  • Provide accurate event information including date, time, location, and description
  • Follow through with events you create or provide reasonable notice of cancellation
  • Ensure your events comply with local laws and regulations
  • Take reasonable safety precautions for event participants
  • Obtain necessary permits or permissions for your events

5.2 Event Participation

When joining events, you agree to:

  • Attend events you confirm participation for, or provide reasonable notice if unable to attend
  • Follow the event organizer's guidelines and instructions
  • Respect other participants and the event venue
  • Take responsibility for your own safety and well-being

5.3 Event Cancellation and Disputes

Event organizers may cancel events at their discretion. We are not responsible for event cancellations, changes, or disputes between users. Users are encouraged to resolve disputes directly and contact us if assistance is needed.

6. Safety and Security

6.1 User Safety

Your safety is important to us. We provide safety features and guidelines, but you are ultimately responsible for your own safety. We recommend:

  • Meeting in public places for initial meetings
  • Informing friends or family of your plans
  • Trusting your instincts and leaving situations that feel unsafe
  • Reporting suspicious or inappropriate behavior

6.2 Background Checks

We do not conduct background checks on users. We may implement identity verification measures, but these do not guarantee the safety or trustworthiness of any user.

6.3 Reporting and Moderation

We reserve the right to investigate reports of violations, review content, and take appropriate action, including account suspension or termination.

7. Intellectual Property Rights

7.1 Junto's Intellectual Property

The Service, including its design, features, text, graphics, images, logos, and software, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7.2 User Content

You retain ownership of content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your content in connection with the Service.

7.3 Copyright Infringement

8. Subscription and Payment Terms

8.1 Premium Features

We offer premium subscription plans that provide additional features and benefits. Subscription details, pricing, and features are described in the app.

8.2 Payment Processing

Payments are processed through third-party payment processors, including RevenueCat, Apple App Store, and Google Play Store. Your payment information is subject to their respective terms and privacy policies.

8.3 Billing and Renewal

  • Subscriptions automatically renew unless cancelled before the renewal date
  • You will be charged the applicable subscription fee for each renewal period
  • Price changes will be communicated in advance
  • You can manage your subscription through your device's app store settings

8.4 Cancellation and Refunds

  • You may cancel your subscription at any time through your device's app store settings
  • Cancellation takes effect at the end of the current billing period
  • Refund policies are governed by the app store through which you purchased the subscription
  • We do not provide refunds for partial subscription periods

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Third-Party Services and Integrations

Our Service may integrate with or contain links to third-party services, websites, or applications, including but not limited to Mixpanel for analytics and user behavior tracking. We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is subject to their respective terms and conditions.

11. Disclaimers and Limitation of Liability

11.1 Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • Any defects or errors will be corrected
  • The Service will meet your specific requirements

11.2 User Interactions

WE ARE NOT RESPONSIBLE FOR THE CONDUCT, ACTIONS, OR CONTENT OF USERS. YOUR INTERACTIONS WITH OTHER USERS ARE SOLELY BETWEEN YOU AND SUCH USERS. WE DO NOT SCREEN USERS OR VERIFY THE INFORMATION THEY PROVIDE.

11.3 Events and Activities

WE ARE NOT RESPONSIBLE FOR EVENTS ORGANIZED THROUGH THE SERVICE, INCLUDING BUT NOT LIMITED TO EVENT QUALITY, SAFETY, LEGALITY, OR CANCELLATION. PARTICIPATION IN EVENTS IS AT YOUR OWN RISK.

11.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Junto, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content or conduct on the Service
  • Your participation in events or interactions with other users

13. Termination

13.1 Termination by You

You may terminate your account at any time by deleting your account through the app settings or contacting us at support@juntomeetups.com.

13.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms or our community guidelines
  • You engage in fraudulent or illegal activities
  • Your account poses a risk to other users or the Service
  • We are required to do so by law
  • We discontinue the Service

13.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease immediately
  • Your account data may be deleted in accordance with our Privacy Policy
  • Outstanding obligations and liabilities will survive termination
  • Sections of these Terms that by their nature should survive will continue to apply

14. Dispute Resolution

14.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at support@juntomeetups.com to seek a resolution. We will work in good faith to resolve any disputes.

14.2 Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or the Service will be resolved through binding arbitration rather than in court, except where prohibited by law. The arbitration will be conducted under the rules of the American Arbitration Association (AAA) and will take place in Delaware, United States.

14.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or collective proceedings.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles. Any legal action must be brought in the courts of Delaware, United States.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or government actions.
